By accessing Orderly or placing an order, you agree to these Terms. If you do not agree, do not use the service.
1. The Orderly platform
Orderly provides software that helps independent restaurants publish menus, accept orders, communicate status, and manage restaurant operations. Unless clearly stated otherwise, the restaurant—not Orderly—is the seller of the food and is responsible for menu accuracy, preparation, food safety, allergens, order acceptance, pickup, restaurant-managed delivery, and fulfilment.
2. Accounts and eligibility
You must provide accurate information and keep account credentials secure. You are responsible for activity under your account and must notify us if you suspect unauthorized use. Restaurant users confirm they are authorized to act for the business and must manage staff access appropriately.
3. Menus, prices, and orders
Restaurants control menu items, options, availability, service areas, minimum orders, business hours, and preparation estimates. Prices are shown in Canadian dollars unless stated otherwise. Applicable tax, delivery fees, discounts, and the final total are shown during checkout before you place the order.
Submitting an order is an offer to purchase from the selected restaurant. An order may be declined or cancelled if an item is unavailable, the restaurant cannot fulfil it, payment fails, information is inaccurate, or fraud or misuse is suspected. We will display or send the available status information.
4. Payments
Online payments are processed by a third-party payment provider. By choosing online payment, you authorize the disclosed total to be charged. Some restaurants may offer payment later. Payment options, refunds, and charge timing may vary by restaurant. Do not initiate an improper chargeback; contact the restaurant and Orderly support first so the issue can be reviewed.
5. Food, allergens, pickup, and delivery
Contact the restaurant before ordering if you have an allergy, intolerance, or dietary requirement. Menu descriptions and option selections do not guarantee an allergen-free environment. Pickup times and restaurant delivery estimates are estimates, not guarantees. Customers must provide a complete delivery address, reachable phone number, and safe delivery access.
6. Acceptable use
You may not misuse the platform, access another user’s account, interfere with security, introduce malicious code, scrape or copy the service unlawfully, submit fraudulent orders, harass restaurants or customers, or use Orderly in violation of law. We may restrict or suspend access to protect the platform and its users.
7. Intellectual property and third parties
Orderly’s software, branding, and original content are protected by applicable intellectual-property laws. Restaurants retain responsibility for and rights in the business content they upload, while granting Orderly permission to host and display it to operate the service. Third-party services have their own terms and policies.
8. Service availability and liability
We work to keep Orderly reliable, but the service may occasionally be unavailable or contain errors. To the extent permitted by law, the service is provided without guarantees beyond those expressly stated, and Orderly is not responsible for a restaurant’s food, preparation, delivery, acts, or omissions. Nothing in these Terms limits rights or remedies that cannot legally be excluded.
9. Changes, termination, and governing law
We may update these Terms and will post the revised version and effective date. You may stop using Orderly at any time. We may suspend access for breach, risk, or legal reasons. These Terms are governed by the laws of Ontario and the applicable laws of Canada, without limiting mandatory consumer rights that apply where you live.
